ZTEST Electronics Inc., ZTST - CDN, ("ZTEST") wishes to announce that it has filed a Form 20-F Registration Statement with the United States Securities and Exchange Commission ("SEC").
The Form 20-F allows foreign corporations to register securities with the SEC pursuant to section 12(g) of the Securities Exchange Act of 1934. ZTEST has previously filed "blue sky" documentation in the United States with various states and with Standard & Poor's Corporation for manual listing. ZTEST's registration of its stock in the United States will allow its shares to be solicited and traded by licensed brokers in the United States in compliance with Securities and Exchange Commission Regulations and "blue sky" requirements in various states in the United States.
As a result of the filing of the 20-F, ZTEST will be obligated to file continuous disclosure documentation with the SEC and will be obligated to prepare a reconciliation of its financial statements to generally accepted accounting principles in the United States ("US GAAP").
